Key Services

Whether it's a complex international acquisition in the energy sector or a smaller UK-based transaction, we have the experience and expertise to navigate you through the deal process seamlessly.

With one of the largest and most versatile M&A advisory teams operating across the UK and internationally, our lawyers know what it takes to get the deal done. We act as your strategic partner, delivering pragmatic solutions aligned with your objectives. Our energy and resources experience spans buy-side and sell-side, domestic and cross-border, as well as public and private M&A. We work with a host of emerging and scale-up companies in the wider energy sector, private equity firms and some of the world's leading multi-national organisations.

Our world leading investigations practice has a depth of experience that means that we can provide a comprehensive response when an organisation in the energy and resources sector is facing issues that may give rise to potential civil, criminal, regulatory or employment issues, as well as potential reputational or commercial damage. We have conducted investigations for multinational FTSE 100 companies, sovereign wealth funds, and privately held entities in the energy and resources sectors.

We are also able to act proactively to mitigate the risk of issues arising and offer compliance training or audits of an organisation's processes and controls, with a depth of expertise across the energy and resources sectors, with particular expertise in managing financial crime risks in these sectors.

We have a wealth of experience acting on complex and high-value disputes in the energy sector, representing clients across the oil and gas, renewables, and power sectors. We have acted in disputes relating to offshore windfarms, solar projects, power stations, complex energy, construction, operation, off-taker and resources disputes, as well as JV and shareholder disputes in the sector. We combine an understanding of the technical issues that arise in large-scale projects with the advocacy experience to best protect our clients' position.

Our award-winning energy and resources disputes practice acts for clients at all stages of the energy value chain – upstream, mid- and down-stream for commercial, corporate, M&A, regulatory and dispute-related advice.

We advise clients and work alongside them to contribute a positive impact across the eco-innovation spectrum. Whatever the status of your eco tech project– start-up, fast-growing or established business – we can guide you at every stage, through funding rounds, contracts, IP and licensing, global expansion and ultimately exit.

We offer access to a robust and influential network including investors and a community of like-minded businesses and specialists in complementary fields, providing a rich ecosystem of potential customers and partners to support your growth and success.

Successfully managing ESG impacts is essential to ensuring that energy and mining projects enjoy both financial resilience and an enduring “social licence to operate”.  Yet it is also an extremely complex challenge, as illustrated by the fact that more than half of the known deposits of critical “transition minerals” are located on or near Indigenous lands.  Understanding impacts, physical and transition risks and opportunities related to climate and environment are increasingly important in exploration, development and operation.

With its combination of lawyers and sustainability professionals, Mishcon Purpose, the firm's specialist ESG practice, is designed to help clients successfully navigate this complexity. Our expertise spans the full range of ESG issues, from regulatory compliance, through governance and strategy advice, to supply chain, human rights, FPIC and stakeholder engagement, advocacy and dispute resolution.

The team also has unique expertise in biodiversity, including nature positive and restoration planning, as well as in carbon, nature and ecosystem markets, including having developed science-based reporting and credit schemes.

Operating out of our London, Hong Kong and Singapore offices, our maritime services team is highly experienced in both contentious and non-contentious commodities and shipping matters and our respected industry experts can help you navigate the intricate, multi-jurisdictional legal issues in this important and quickly changing market.

We have broad experience advising, negotiating and drafting standard market and bespoke contracts for construction, conversion, chartering/employment, finance and sale and purchase of vessels and/or fleets, and all ancillary documentation. We cover all types of financing, including JOLCO, PDP, ECA and project vessel financing. Our expertise extends to LNG, FPSO, FSO, FSRU, and semi-submersible rigs, as well as conventional vessels like containerships, bulk carriers, tankers, and other offshore assets. We represent a range of market participants, including financiers, superyacht owners, charterers, shipyards, governments and brokers, and provide exceptional technical advice alongside commercial and practical guidance to ensure that you achieve your desired outcome.

The transition to sustainable infrastructure will be the impetus for a new wave of project financings. This includes emerging areas such as batteries, electric vehicles, energy conversion plants, energy-from-waste, biomass, hydrogen, wind and solar power and carbon capture and the supply and processing of critical minerals such as lithium, nickel, copper, cobalt and vanadium.

Our project finance team has extensive experience in structuring ventures and in project implementation. We have significant experience in the mining sector and related downstream enterprises. Our advice covers the entire mine life cycle and relies on our deep understanding of equity and debt capital markets and of restructurings. Our lawyers advise clients on bilateral/multilateral facilities, mine and infrastructure financing, public private partnerships (PPP), procurement and construction contracts (EPC), offtake and transport agreements, mining agreements, production sharing agreements, restructurings, ESG, political risk insurance and performance risk issues. We also have lawyers that advise on ancillary matters relating to M&A, joint ventures and disputes.

Our Real Estate lawyers advise some of the UK's biggest solar and PV projects and are heavily involved in the conversation to decarbonisation and sustainability. We focus on bringing together our clients and contacts to share best practice, and regularly advise on the contractual implications of the circular economy and sustainability rating schemes.

We serve a diverse clientele navigating the challenges of climate change and meeting the increasing demand for sustainable energy solutions. We have substantial expertise in the renewable energy sector, positioning us to adeptly support clients in diversifying their investments and business strategies. This expertise encompasses all forms of renewable energy, ensuring our clients are well-equipped to thrive in this critical area of growth and innovation.
