Personal Profile

Anil is a Corporate Tax Partner with over 20 years of experience advising companies, their shareholders and management teams on all aspects of UK corporate tax with a particular focus on domestic and cross border M&A, corporate restructuring, debt structuring, exit strategies, corporate real estate, and tax efficient investments.

He advises clients across several sectors, but in particular those in real estate, financial services, life sciences, healthcare, manufacturing and technology.  

Anil works closely with directors and stakeholders across the various stages of their business's life cycle, from startups looking to secure initial tax efficient investment through Seed Enterprise Investment Scheme (SEIS) and Enterprise Investment Scheme (EIS) funding all the way through to future investment rounds including Venture Capital Trusts (VCT) and finally advising on the tax implications arising at exit. He works alongside the Emerging Companies and Venture Capital team at Mishcon de Reya becoming a trusted advisor in relation to client's investment strategy, helping them to grow and ensuring that the structure being implemented has longevity whilst remaining tax efficient.  

Key Experience

  • Advising a UK based community interest company on their acquisition of a Canadian based tech company and its subsequent relocation to Boston Massachusetts. 
  • Advising on the sale of a UK tech business operating in the healthcare sector and the tax implications arising for the EMI optionees on their exit only options. 
  • Advising on the UK / Canadian inversion of a tech logistics business and assessing the impact for their EIS shareholders and option holders.
  • Advising on the withholding tax implications on a £20 million lending facility provided by a Panamanian resident to a Gibraltar resident company specialising in UK property development.
  • Leading on the acquisition of a specialist door manufacturer as part of a wider buy and build strategy undertaking tax and financial due diligence.
  • Advising on the tax implications of entering into a joint venture property structure where one member was seeking Real Estate Investment Trust (REIT) status from HMRC and the implications arising for the minority non-REIT JV partner.
  • Advising various clients across a number of industry sectors on their eligibility to Research & Development (R&D) tax reliefs, together with the impact of grant funding through innovate UK.
  • Advising various tech and life science startup companies on their SEIS and EIS funding rounds, including the initial structuring, seeking HMRC Advanced Assurance to implementation.
