Olivia is an Associate in the Commercial team and a member of Mishcon's Retail, Hotels and Purpose (ESG) sector groups.
Olivia focuses on assisting clients with their growth strategies, both domestically and internationally. She routinely drafts and negotiates franchise agreements, hotel management agreements, IP licences and key supply chain contracts including manufacturing, supply and distribution. Olivia works with international household names, fast growing start-ups and entrepreneurs.
Olivia regularly assists on commercial contracts relating to property transactions and is experienced at negotiating property management agreements and asset management agreements. Olivia has advised on the energy infrastructure agreements for large developments including power purchase agreements for renewable energy and district heat network arrangements.
Olivia also advises on technology-related matters including API licences, outsourcing and SaaS agreements.
Olivia is recognised as a key lawyer for franchising in the Legal 500, as well as for Hospitality & Leisure.

- Advising food and beverage brands on international expansion through franchising, including preparing and negotiating the heads of terms and franchise agreement for a rapidly growing premium bakery brand.
- Advising a well-known international clothing retailer on revising its current franchise agreement and providing strategic advice to tackle territory specific issues, including liaising with local counsel where required.
- Supporting a social impact coffee brand on its commercial contracts including its franchise agreement and distribution arrangements in Europe.
- Negotiating and advising on the franchise agreement and hotel management agreement on behalf of the owner of a hotel in Brighton.
- Regularly advising on the termination of hotel management agreements and franchise agreements including in relation to a hotel in Africa which was pursuing a partnership with a more sustainable brand and a luxury hotel in Switzerland which was seeking to reduce operating costs.
- Drafting e-commerce documentation for clothing and beauty brands including the terms and conditions of sale for a maternity clothing brand.
- Advising on and negotiating an asset management agreement in connection with a prestigious 3.5 acre site in central London comprising luxury residential and non-residential units.
- Negotiating the power purchase agreement for the supply of electricity from solar panels at Sky Studios development of Rowley Lane, Elstree.
- Advising a well-known luxury brand on purchasing land in the metaverse.
- Advising on and negotiating a critical IT services agreement for a FTSE 250 company.
