Raina is an Associate in the Commercial team in the Innovation department.
Raina advises clients across a number of sectors, with a particular focus on retail and technology.
She specialises in advising clients on a broad range of commercial and IP related issues. This includes commercial and technology contracts, such as distribution, licensing, supply, brand collaborations, outsourcing and SaaS agreements.
Raina previously worked in-house in the banking industry. She is also an Indian qualified lawyer, and works closely with Indian clients which includes corporations and high net worth individuals.
Key Experience
- Advising a start-up e-commerce retail business on a range of commercial issues and drafted their website terms and conditions, cookies and privacy policy.
- Working on a US telecom company's international expansion project, which involved updating their customer terms to be English law compliant, and coordinating and liaising with foreign counsel on behalf of the company.
- Assisting multiple corporate transactions at the firm by providing specialist commercial contract and IP support, especially in the retail, leisure, technology and real estate sectors.
- Working alongside a number of fast-growth technology and SaaS clients on a range of contractual issues.
- Assisting retail brands (ranging from high street to luxury) on their influencer and brand collaboration agreements, and related IP ownership issues.
- Reviewing a SaaS client's suite of customer onboarding and IT contracts, and preparing a new suite of standardised templates in line with our recommendations.
- Working on a high-street retail clothing brand's collaboration with a luxury brand to release a new line of limited edition high-end skiwear.
- Creating a 'playbook' for a SaaS client's business employees to assist them in negotiating and finalising contracts without legal support, including identifying key terms that need to be agreed, identifying starting and fall-back positions, and explaining limits of what can and cannot be negotiated without legal assistance.
- Working on the acquisition of a luxury high street café with worldwide outlets which involved reviewing and reporting on entire suite of franchising agreements (predominantly Europe and the Middle East).
- Drafting screenplay writer's agreements, and providing commercial advice to clients in the film and media industry.
- Advising and negotiating on-site brand activations for a major real estate investment client of the firm.
- Conducting an IP audit to establish IP ownership of an AI company's suite of products, including a device and the company's website and application, identifying gaps and providing recommendations.
