Mishcon de Reya has advised EuroChem Group AG, a leading fertiliser manufacturer on its binding offer to acquire the nitrogen business of Borealis Group AG, which includes fertilizer, melamine and technical nitrogen products and is valued at €455 million under the terms of the offer.
Mishcon de Reya is advising on all merger control and foreign investment filings. Neil Baylis, Partner in the firm's competition and regulatory group, has advised EuroChem for over ten years on a number of transactions as well as on compliance issues.
EuroChem is a leading global fertilizer producer and one of only three companies worldwide with manufacturing capacity in all three primary nutrient groups: nitrogen, phosphates and potash. EuroChem is headquartered in Zug, Switzerland and operates globally.
The transaction will require clearance from the European Commission under the European Merger Control Regulation, with merger control and FDI clearances also being sought in seven EMEA countries. The parties are aiming to close in the second half of 2022.
